Agreement to Terms
By accessing or using the Services—including submitting your contact information, requesting a cash offer, or engaging with our SMS messages—you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.

Who May Use the Services
You must be at least 18 (or the age of majority in your jurisdiction) and able to form a binding contract. You represent that you are using the Services for yourself or with proper authority on behalf of a property owner/entity.

Our Services 
Keystone provides wholesale real estate services, including property acquisition, evaluation, marketing to investors/buyers, and facilitation of transactions. We are not a law firm, accounting firm, or financial advisor, and our Services do not constitute legal, tax, or financial advice.

• No Brokerage/Fiduciary Relationship. Unless we enter a separate written agreement expressly creating such a relationship, we are not acting as your broker/agent and owe no fiduciary duty.

• Market-Dependent & Discretionary. Offers and valuations are estimates based on the information available and may change after inspection, due diligence, title review, or market conditions. We may decline to proceed with any transaction at our discretion.

User Responsibilities
You agree to: (a) provide accurate and complete information; (b) only submit information you have the right to share; (c) not misuse the Services (e.g., no scraping, spamming, reverse engineering, or interfering with security); and (d) comply with applicable laws, including fair-housing, anti-discrimination, and telemarketing rules.

Communications; SMS/Text Terms (TCPA)
By providing a phone number or contacting us, you consent to receive marketing and transactional communications from Keystone, including calls and SMS/text messages (which may be sent via autodialer or prerecorded voice) regarding inquiries, offers, scheduling, and updates. Message and data rates may apply. Consent is not a condition of purchase.

• Opt-Out: Reply STOP to unsubscribe from texts or contact contact@kstonedeals.com / 928-723-1150.

• Recording: We may record or monitor calls with notice where required by law for quality, training, and documentation.

Property Access; Inspections
If you grant us or our representatives access to property, you represent that you have the authority to do so and will ensure a reasonably safe environment. We are not liable for pre-existing conditions or hazards. You agree to cooperate with reasonable inspection requests.

Investor/Buyer Network; Sharing With Consent
With your authorization/consent, we may share your property details and contact information with trusted investors/buyers for evaluation or to facilitate a transaction you request. See our Privacy Policy for additional details.

Submissions; Testimonials; License
If you submit content (e.g., photos, property details, testimonials), you grant Keystone a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content for providing and promoting the Services. You represent you have rights to grant this license.

Third-Party Services & Links
The Services may include links to third-party sites or tools (e.g., title/escrow, e-signature, analytics). We are not responsible for third-party content or practices. Your use of third-party services is governed by their terms and policies.

Payments & Fees (If Applicable)
If any fees or earnest money are involved in a specific transaction, those amounts, timing, and refundability will be set forth in deal-specific documents. Unless a written agreement states otherwise, you are responsible for your own closing costs, professional fees, and taxes.

Intellectual Property
The Services, including all content, logos, trade names, text, graphics, and software, are owned by Keystone or its licensors and are protected by IP laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works of the Services.

Disclaimers

• No Warranties. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

• No Guarantee of Results. We do not guarantee that an offer will be made, that a transaction will close, or that any specific outcome will occur. Market conditions and third-party actions are beyond our control.

• No Legal/Tax/Financial Advice. You should consult your own attorney, accountant, or financial professional.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KEYSTONE AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; some of the above may not apply to you.

Indemnification
You agree to defend, indemnify, and hold harmless Keystone and its affiliates, owners, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your content or submissions; (c) your violation of these Terms or applicable law; or (d) your property access authorization.

Privacy
Your use of the Services is also governed by our Privacy Policy – Keystone Deals LLC, it explains how we collect, use, share, and safeguard information, and your rights and choices (including SMS opt-out).

Changes to the Services and Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may update these Terms from time to time; the “Effective Date” shows the latest version. Continued use of the Services after changes means you accept the updated Terms.

Termination
We may suspend or terminate your access to the Services at any time for any reason, including suspected violations of these Terms or applicable law. You may stop using the Services at any time. Sections that by their nature should survive (e.g., IP, disclaimers, limitations, indemnity, dispute resolution) will survive termination.

Dispute Resolution; Arbitration; Class-Action Waiver
Informal Resolution. Before filing a claim, you agree to email contact@kstonedeals.com with a description of the dispute and allow 30 days to attempt informal resolution.
Binding Arbitration. Except for claims that qualify for small-claims court, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration under the Federal Arbitration Act and administered by JAMS (or another reputable administrator) under its applicable rules. The arbitrator shall have exclusive authority to resolve disputes relating to arbitrability and interpretation/enforceability of this arbitration agreement.

Class-Action Waiver. YOU AND KEYSTONE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to Keystone Deals LLC, Attn: Legal – Arbitration Opt-Out, [Street], [City], [State], [Zip]. Your opt-out will not affect other provisions.

Governing Law; Venue
These Terms are governed by the laws of the State of [Choose: Arizona or your primary state of operation], without regard to conflict-of-law principles and except where preempted by federal law (e.g., the FAA for arbitration). Subject to the arbitration clause, the exclusive venue for any permitted court action will be the state or federal courts located in Los Angeles, Ca, and you consent to their personal jurisdiction.

International Use
We operate from the United States. We do not represent that the Services are appropriate or available in other locations. You are responsible for compliance with local laws if you access from outside the U.S.

Severability; Assignment; Entire Agreement
If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable; the remainder stays in effect. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, sale, or corporate reorganization. These Terms (plus the Privacy Policy and any deal-specific written agreement) are the entire agreement between you and Keystone regarding the Services and supersede prior or contemporaneous communications.
